These Terms and Conditions (“Terms”) govern your access to and use of the Neivoc website, services, systems, and related offerings. By using our website, submitting an application, subscribing to our services, or working with Neivoc, you agree to these Terms.

Please read them carefully before using our website or services.

1. About Neivoc

Neivoc provides website, booking, CRM, lead capture, and follow-up system services for local service businesses.

Our services may include, depending on your plan or agreement:

  • Website setup or website management
  • Landing pages or service pages
  • Booking and appointment system setup
  • Contact forms and lead capture forms
  • CRM pipeline setup
  • Email and/or SMS follow-up automations
  • Missed-call text-back setup
  • Review request automation
  • Basic website updates and support
  • Third-party tool setup and integration
  • Ongoing maintenance related to the agreed service

The exact services included will depend on your subscription, proposal, invoice, or written agreement with Neivoc.

2. Eligibility

By using our website or services, you confirm that:

  • You are at least 18 years old
  • You are authorized to represent your business
  • The information you provide is accurate and complete
  • You will use our services only for lawful business purposes

Neivoc reserves the right to refuse service to any business that we believe is unsuitable, unlawful, misleading, harmful, or outside the scope of what we can support.

3. Applications and Acceptance

Submitting an application or inquiry does not guarantee that Neivoc will accept your business as a client.

We may review your business type, location, needs, current systems, and fit before accepting your application.

We may decline an application for any reason, including but not limited to:

  • The business is outside our supported industries
  • The requested work is outside our service scope
  • The business involves illegal, misleading, harmful, or restricted activities
  • The client requires features, timelines, or guarantees we cannot reasonably provide
  • We believe the partnership is not a good fit

4. Services and Scope

Neivoc provides services based on the scope agreed in writing, through our website, proposal, invoice, subscription plan, or project communication.

Anything not clearly included in the agreed scope is not included unless confirmed by Neivoc in writing.

Additional work may require an additional fee. This may include, but is not limited to:

  • Custom design beyond the agreed website structure
  • Advanced custom development
  • Paid advertising setup or management
  • SEO campaigns beyond basic setup
  • Copywriting beyond agreed sections
  • Branding, logo design, or brand strategy
  • Complex integrations
  • E-commerce functionality
  • Membership systems
  • Advanced reporting
  • Large content uploads
  • Major redesigns
  • Migration from complex existing systems

Neivoc may recommend third-party tools where needed to provide certain features.

5. Client Responsibilities

To deliver the service properly, you agree to provide accurate, timely, and complete information.

You may be responsible for providing:

  • Business name and contact details
  • Logo, brand assets, images, and other media
  • Service descriptions
  • Pricing information, if applicable
  • Business hours
  • Location and service area
  • Booking rules and availability
  • Access to existing website, domain, hosting, CRM, email, or related tools
  • Approval, feedback, and requested content within a reasonable timeframe

Delays in providing information, access, payment, or feedback may delay the project or service delivery.

Neivoc is not responsible for delays caused by missing client materials, lack of access, third-party platform issues, or delayed client responses.

6. Subscriptions and Payments

Neivoc services may be offered on a monthly subscription basis.

By subscribing, you agree to pay the fees shown on our website, invoice, proposal, or written agreement.

Unless otherwise stated:

  • Subscription fees are billed monthly
  • Payment is due before or at the start of each billing period
  • Services may be paused if payment is late
  • Fees are non-refundable once the billing period has started
  • Prices may change with prior notice

You are responsible for keeping your billing information accurate and up to date.

If payment fails or remains unpaid, Neivoc may suspend your services, remove access to systems, pause support, or terminate the subscription.

7. Setup Fees

Some services may require a setup fee, onboarding fee, migration fee, or one-time project fee.

Any setup fee will be stated before work begins.

Setup fees are generally non-refundable once work has started, because they cover planning, setup, configuration, design, technical work, and onboarding time.

8. Cancellation

You may cancel your subscription by contacting Neivoc through the official contact method provided on our website or invoice.

Unless otherwise stated in writing:

  • Cancellation stops future billing
  • Cancellation does not automatically refund fees already paid
  • Access to subscription-based services may end at the end of the current paid billing period
  • Any unpaid balance remains due
  • Neivoc may require reasonable notice before cancellation takes effect

If you cancel, certain features, tools, hosting, automations, forms, CRM access, booking pages, or integrations may stop working if they are provided through Neivoc-managed systems.

9. Refunds

Because Neivoc provides service-based work, setup, configuration, and ongoing support, payments are generally non-refundable.

Refunds may only be granted at Neivoc's discretion or when required by applicable law.

We do not provide refunds for:

  • Change of mind
  • Delayed client feedback or missing client materials
  • Unused subscription time
  • Work already completed
  • Third-party platform issues outside our control
  • Client failure to use the provided system
  • Results that depend on client actions, market conditions, or customer behavior

10. Revisions and Support

Neivoc may include reasonable revisions or support depending on your subscription or agreement.

Revisions must relate to the agreed scope of work.

Neivoc may refuse or charge extra for revision requests that:

  • Are outside the agreed scope
  • Require major redesign or redevelopment
  • Add new features not originally included
  • Require complex third-party integrations
  • Conflict with best practices, platform limitations, or legal requirements
  • Are requested after project approval or launch

Support may be provided through email, chat, ticketing, or another method chosen by Neivoc.

11. Website Ownership

Ownership of the website, design, content, and system setup depends on the specific subscription, plan, or agreement.

Unless otherwise stated in writing:

  • You own the business content you provide, such as your logo, images, text, and brand materials
  • Neivoc may retain ownership of its internal processes, templates, frameworks, workflows, automation structures, and reusable system components
  • Third-party platforms, plugins, themes, software, and tools remain owned by their respective providers
  • If your website or system is hosted, managed, or licensed through Neivoc, continued access may depend on an active subscription

If you cancel your subscription, Neivoc may provide exportable assets or transfer assistance only if included in your plan or agreed separately in writing. Additional fees may apply for migration, export, transfer, or technical handover work.

12. Third-Party Tools and Platforms

Neivoc may use third-party tools to provide websites, booking systems, forms, CRM, email, SMS, analytics, automations, hosting, payment processing, or other features.

These third-party tools may have their own terms, pricing, limitations, privacy policies, service availability, and technical requirements.

Neivoc is not responsible for:

  • Downtime caused by third-party providers
  • Price changes from third-party platforms
  • Feature changes or removed functionality
  • Account restrictions imposed by third-party providers
  • Data loss caused by third-party systems
  • Delivery issues involving email, SMS, or external platforms
  • Third-party billing, policy changes, or service interruptions

Where needed, you agree to comply with the terms of any third-party tools connected to your website or system.

13. Domains, Hosting, and Email

Depending on the agreed service, Neivoc may assist with domains, hosting, DNS, website hosting, business email, or related technical setup.

Unless clearly stated in writing, domain registration, hosting fees, email fees, premium plugins, paid tools, and third-party subscriptions are not automatically included in your Neivoc subscription.

You are responsible for maintaining ownership and payment of your domain and any accounts registered under your name or business.

Neivoc is not responsible for loss of access, downtime, email issues, or service interruptions caused by expired domains, unpaid third-party accounts, incorrect DNS changes, or third-party provider issues.

14. Content and Materials

You are responsible for ensuring that all content, images, logos, trademarks, reviews, testimonials, service claims, pricing, and materials you provide are accurate, lawful, and authorized for use.

You agree not to provide content that is:

  • False or misleading
  • Infringing on someone else's intellectual property
  • Defamatory or harmful
  • Illegal or discriminatory
  • Spam, malware, or harmful code
  • Misrepresenting your services, pricing, qualifications, reviews, or results

Neivoc may refuse to publish or remove content that we believe is unlawful, misleading, harmful, or inappropriate.

15. No Guaranteed Results

Neivoc aims to help businesses improve their online presence, capture leads, and follow up with potential customers.

However, we do not guarantee specific business results, including but not limited to:

  • A specific number of leads
  • A specific number of bookings
  • A specific increase in revenue
  • A specific search engine ranking
  • A specific conversion rate
  • A specific number of reviews
  • A specific return on investment

Results depend on many factors outside our control, including your offer, pricing, location, competition, market demand, customer service, response time, and business reputation.

16. Acceptable Use

You agree not to use Neivoc's website, systems, or services to:

  • Break any law or regulation
  • Send spam or unauthorized messages
  • Collect personal information unlawfully
  • Mislead customers
  • Impersonate another person or business
  • Upload malware or harmful code
  • Interfere with platform security
  • Abuse, harass, or threaten others
  • Promote illegal, harmful, or deceptive activities

We may suspend or terminate services if we believe our systems are being misused.

17. Data and Privacy

Your use of Neivoc's website and services is also governed by our Privacy Policy.

Because Neivoc may help manage leads, booking data, customer inquiries, and CRM information, both Neivoc and the client must handle personal information responsibly.

Clients are responsible for ensuring that their own privacy notices, consent practices, customer communications, and business processes comply with applicable privacy and data protection laws.

The Philippines Data Privacy Act recognizes the importance of protecting personal information in information and communications systems. Neivoc's handling of personal information is described in our Privacy Policy.

18. Confidentiality

During our work together, either party may share confidential business, technical, customer, or operational information.

Both parties agree to take reasonable steps to protect confidential information and not disclose it to unauthorized third parties, except when required to deliver the service, comply with the law, or protect legal rights.

Confidential information does not include information that is already public, independently developed, or received legally from another source.

19. Intellectual Property

All Neivoc branding, website content, service descriptions, processes, templates, layouts, frameworks, documents, and internal materials are owned by Neivoc or licensed to Neivoc unless otherwise stated.

You may not copy, resell, reproduce, or redistribute Neivoc materials without written permission.

You retain ownership of the original business materials you provide to Neivoc, such as your business logo, brand assets, photos, and written content.

20. Portfolio Use

Unless you request otherwise in writing, Neivoc may display your business name, website link, screenshots, project description, or general results as part of our portfolio, case studies, marketing materials, or website.

We will not intentionally disclose confidential information, private customer data, or sensitive business information in public portfolio materials.

21. Service Availability

We aim to provide reliable services, but we cannot guarantee uninterrupted or error-free operation.

Websites, booking systems, CRM tools, automations, email, SMS, hosting, and third-party tools may occasionally experience downtime, delays, errors, maintenance, or interruptions.

Neivoc is not liable for temporary unavailability caused by technical issues, maintenance, internet outages, third-party platforms, security incidents, or circumstances outside our reasonable control.

22. Limitation of Liability

To the maximum extent permitted by law, Neivoc will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of profits, lost leads, lost bookings, loss of data, business interruption, or reputational harm.

Neivoc's total liability for any claim related to our services will not exceed the amount you paid to Neivoc for the specific service during the one month before the claim arose, unless a different limit is required by law.

23. Indemnification

You agree to defend, indemnify, and hold harmless Neivoc from any claims, damages, losses, liabilities, costs, or expenses arising from:

  • Your use of our services
  • Your business operations
  • Content or materials you provide
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your violation of third-party rights
  • Your misuse of customer data, leads, booking data, or CRM information

24. Termination

Neivoc may suspend or terminate your access to services if:

  • You fail to pay on time
  • You breach these Terms
  • You misuse our systems
  • You provide false or misleading information
  • You engage in unlawful, abusive, or harmful conduct
  • Continued service creates legal, technical, operational, or reputational risk for Neivoc

Termination does not remove your obligation to pay any outstanding fees.

25. Changes to Services or Terms

Neivoc may update, modify, pause, or discontinue parts of our website, services, features, pricing, or Terms from time to time.

When we make material changes, we may provide notice by updating this page, sending an email, or notifying active clients through a reasonable method.

Your continued use of our website or services after changes are posted means you accept the updated Terms.

26. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law principles.

Any disputes will be handled in the courts or appropriate legal venue located in the Philippines, unless otherwise required by applicable law.
